Terms of Service

1. Acceptance of Terms

By accessing or using Vocalo ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Service Description

Vocalo provides an AI-powered voice agent platform that handles inbound and outbound phone calls on behalf of businesses. The Service includes voice agent creation, tool integrations, call analytics, and related APIs.

3. Account Responsibilities

You are responsible for maintaining the security of your account credentials and for all activities under your account. You must provide accurate information and promptly update it if it changes.

4. Acceptable Use

You agree not to use the Service for illegal purposes, harassment, spam calls, or any activity that violates applicable laws or regulations. Vocalo reserves the right to suspend accounts that violate this policy.

5. Billing & Payments

Usage is billed based on your selected plan and actual call minutes consumed. All fees are in USD and non-refundable unless required by law. You authorize us to charge your payment method for recurring subscription fees and usage charges.

6. Intellectual Property

You retain ownership of your content (agent descriptions, tool configurations, etc.). Vocalo retains ownership of the platform, AI models, and all related technology. We grant you a limited, non-exclusive license to use the Service.

7. Limitation of Liability

Vocalo is provided "as is" without warranties of any kind. We are not liable for indirect, incidental, or consequential damages. Our total liability is limited to the amount you paid in the 12 months preceding the claim.

8. Termination

Either party may terminate the agreement at any time. Upon termination, your access to the Service will cease. You may export your data within 30 days of termination.

9. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or an in-app notification at least 30 days before they take effect.

11. Right of Withdrawal (FAGG §11)

If you are a consumer within the European Union, you have the right to withdraw from this contract within 14 days without giving any reason (Austrian Fern- und Auswärtsgeschäfte-Gesetz, FAGG §11). The withdrawal period expires 14 days after the day of contract conclusion. To exercise your right of withdrawal, you must inform us by a clear statement (e.g., email to legal@vocalo.at). You may use the model withdrawal form but it is not obligatory. If you request that the service begins during the withdrawal period, you shall pay us an amount proportional to what has been provided until you communicated your withdrawal.

12. Data Protection

We process personal data in accordance with the General Data Protection Regulation (GDPR) and the Austrian Datenschutzgesetz (DSG). For full details on what data we collect, how we use it, your rights, and our data processors, please refer to our Privacy Policy. By using the Service, you acknowledge that call audio is processed by AI systems as described in our Privacy Policy.

13. AI Disclosure & Call Recording

Vocalo uses artificial intelligence to handle phone calls. In compliance with the EU AI Act (Article 52) and Austrian criminal law (StGB §120), every call handled by a Vocalo AI agent includes an automated disclosure informing the caller that they are speaking with an AI and that the call may be recorded. You must not disable, modify, or circumvent this disclosure. You are responsible for ensuring your use of call recordings complies with all applicable laws.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Austria, excluding its conflict of laws provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG). For consumers within the EU, the mandatory consumer protection provisions of your country of residence shall apply insofar as they are more favorable. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Vienna, Austria, without prejudice to mandatory legal venue provisions for consumers.

15. Online Dispute Resolution

The European Commission provides an Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. We are neither obligated nor willing to participate in a dispute resolution procedure before a consumer arbitration board.
